Legal due diligence in mergers and acquisitions

Abstract

     Merger and acquisition (M&A) always unsettles certain risks which may cause the deal not create value, but sometimes failure can affect the business situation of enterprises. Due diligence is an important process in M&A, in which, Legal due diligence (LDD) play a role in helping to limit legal risks that may arise in order to help enterprises to implement M&A  safely and optimize the value achieved from the transaction. The article introduces the Legal due diligence and some important legal issues to the implementation of legal due diligence.
