Abstract

Abstract: NVDR is an effective financial instrument to increase the attraction of
foreign investment without violating regulations on foreign investors's ownership
restriction in public companies while preventing foreign investors from usurping
domestic companies. However, the existing legal regulations of Vietnam only make an
identification about NVDR, there is no legal framework for NVDR. Therefore, the article
focuses on the following issues: (1) Analyzing and clarifying the need to build and
improve the law on NVDR in Vietnam; (2) Proposing specific recommendations on the
contents of the law adjustment of NVDR in Vietnam.
