RIGHTS OF MEMBERS AND SHAREHOLDERS TO FILE LAWSUITS AGAINST THE COMPANY MANAGER

Abstract

Corporate law allows members and shareholders to sue the company manager (NQLCT) on their own or on behalf of the company; however, this concept is still quite vague and new. The Civil Procedure Code does not have specific regulations on this content and there are a number of problems and inadequacies when implementing this regulation in practice. Therefore, the author realizes that it is necessary to study, analyze and clarify these regulations to serve as a basis for perfecting the law on the right to sue for corporate governance of members and shareholders. Research results will help investors feel secure to invest, contribute to a healthy business environment, and promote economic development
