CRITERIA FOR A PUBLIC OFFERING OF SECURITIES UNDER THE LAW OF VIETNAM

Abstract

Undefined investor and the number of investors are the most important criteria for classifying a securities issue as a private placement or as a public offering of securities. However, some inadequacies of the provisons of the Securities Law of Vietnam on the above mentioned criteria still remain. From the legal perspective, the paper focuses on ananalysis of criteria for a public offering of securities and offers proposals for improving the law of Vietnam in this regard.
