Salient points of management in joint stock company and arising issues under the 2020 Law on Enterprises

Abstract

The 2020 Law on Enterprises has overcome many limitations of the 2014 Law on Enterprises, especially regarding the governance of joint-stock companies, creating favorable conditions for enterprises to grow their businesses and protect the legitimate interests of investors; However, there are still some issues that need to be improved, such asthe regulations on legal representatives, the management structure, and the rights of minority shareholders. The article presents new points and limitations of the 2020 Law on Enterprises. It also studies international  experience on joint-stock company governance to make recommendations for Vietnam to further refine its corporate law.
